This Partnership Guide explains how our partnership process works, what participating organizations can expect, and how responsibilities are handled from the first conversation through final delivery.

Wholesale and Resale Partnerships

Organizations purchasing products for resale may be required to provide:

Wholesale pricing and terms are determined separately from consumer pricing.

Suggested Retail Pricing

MadeByKidz may provide suggested retail pricing for wholesale products.

Unless otherwise required by a written agreement or applicable law, suggested prices are recommendations and do not guarantee a particular sales result, margin, or level of customer demand.

Each organization remains responsible for its own retail operations, pricing decisions, taxes, staffing, displays, and customer transactions.

Exclusivity

Exclusivity is not automatically included in a partnership.

Any exclusivity involving:

Exclusivity may be subject to minimum purchases, performance requirements, defined time periods, renewal terms, or other conditions.

Intellectual Property

MadeByKidz respects the intellectual-property rights of all organizations, creators, and third parties.

Unless otherwise agreed in writing:

MadeByKidz retains ownership of its original concepts, designs, artwork, production methods, characters, Adventure Worlds, stories, branding, and underlying creative assets.

The partner retains ownership of its preexisting logos, trademarks, written content, brand materials, and other intellectual property.

Neither party receives ownership of the other party’s intellectual property merely because it is used in a collaborative project.

Any transfer, assignment, license, or exclusive right must be documented in writing.

Partner-Provided Materials

When a partner provides logos, artwork, photographs, trademarks, text, characters, designs, or other materials, the partner represents that it owns those materials or has permission to authorize their use for the project.

The partner is responsible for obtaining any required permissions from third-party rights holders.

MadeByKidz may decline, suspend, or cancel work that appears likely to infringe upon another party’s rights.

Use of Completed Work

MadeByKidz may request permission to photograph or feature completed partnership work in:

Confidential, embargoed, or restricted projects will be handled according to the terms agreed upon by the parties.

Organizations should notify MadeByKidz before the project begins if publicity restrictions apply.

Co-Branding

Co-branded products may include the names, logos, trademarks, stories, or visual identities of MadeByKidz and the partner organization.

All branding must be reviewed and approved before production.

Neither party may imply an endorsement, sponsorship, ownership relationship, or continuing affiliation beyond the agreed partnership.

Marketing and Promotion

When appropriate, MadeByKidz and the partner organization may collaborate on promotion.

Marketing support may include:

Social media posts

Launch announcements

Website features

Event promotion

Retail signage

Educational storytelling

Behind-the-scenes content

Joint press materials

Marketing responsibilities, approval rights, timing, and expenses should be agreed upon in advance.

Neither party is required to make public statements or promotional commitments unless included in writing.

Confidentiality

Some partnership discussions may involve confidential business information.

Products should not be discarded, altered, displayed, sold, or returned until MadeByKidz provides instructions regarding the concern.

Returns and Replacement

Because many partnership products are custom-made, branded, or produced specifically for one organization, they may not be eligible for standard returns.

MadeByKidz will review legitimate concerns involving defective, damaged, or incorrect products.

Available solutions may include:

Normal production variations, approved design features, changes in customer preference, or issues caused after delivery may not qualify for replacement.

Cancellations

If cancellation occurs after design work, material purchasing, prototyping, or production has begun, some or all payments may be nonrefundable.

MadeByKidz will make reasonable efforts to reduce unnecessary costs when a project is cancelled.

Delays and Events Beyond Our Control

MadeByKidz will make reasonable efforts to meet agreed timelines.

However, schedules may be affected by circumstances outside our reasonable control, including:

Material shortages

Supplier delays

Shipping disruptions

Equipment failure

Severe weather

Natural disasters

Government action

Labor interruptions

Power or internet outages

Illness or emergencies

Other unexpected events

When delays occur, we will communicate available information and work toward a reasonable solution.

Compliance and Safety

Each organization is responsible for determining whether a product or project is appropriate for its intended environment and audience.

No Guarantee of Sales or Attendance

MadeByKidz does not guarantee:

Fundraising results

Public response

Media coverage

Program outcomes

We will work thoughtfully to create products and experiences aligned with the partnership’s goals, but results depend on many factors outside our control.

Relationship Between the Parties

Unless expressly stated in a separate written agreement, a partnership with MadeByKidz does not create:

A legal partnership

A joint venture

An employment relationship

An agency relationship

A franchise relationship

Authority for either party to bind the other

The term “partner” is used to describe collaborative business relationships and does not, by itself, create a formal legal partnership.

Ending a Partnership

Either party may decide not to continue a partnership after completing existing obligations.

MadeByKidz may suspend or end a partnership if there is:

Nonpayment

Unauthorized use of intellectual property

Misrepresentation

Unlawful activity

Repeated failure to provide approvals or information

Conduct that could harm MadeByKidz, its customers, or its reputation

Material breach of an agreement

Any outstanding payments, confidentiality duties, intellectual-property obligations, and other surviving responsibilities remain in effect as applicable.
